Sales Terms and Conditions

Version 1.0 — May 20, 2026

1. Scope

These Sales Terms and Conditions apply exclusively to paid Pro Sessions offered by Coaches/Pros via the Team Up Platform. Free community sessions are governed by the Terms of Use, not these Sales Terms. Any Participant making a paid booking accepts these Sales Terms without reservation.

2. Triangular Relationship — Platform / Coach / Participant

  • Team Up acts as a technical intermediary and payment collection agent on behalf of the Coach.
  • The Coach is the service provider and legal seller of the Session. They freely set the price and bear contractual responsibility towards the Participant.
  • The Participant is the buyer of the service (the paid Pro Session).
  • Team Up IS NOT the seller or provider of the Session. The primary contractual relationship is established directly between the Coach and the Participant.

3. Payment Role and Commission

  • Payments are processed via Stripe Connect. By booking a Session, the Participant authorises Team Up to collect the amount on behalf of the Coach.
  • Team Up charges a commission of 15% on the amount of each paid Pro Session. [TO BE COMPLETED: confirm exact rate at launch]
  • Coaches wishing to offer paid Sessions pay a one-time activation fee of €19 when opening their Pro account. [TO BE COMPLETED: confirm final pricing terms]
  • Revenue payouts to Coaches are made via Stripe Connect, subject to Stripe processing times and bank account verification.

4. Pricing, Booking and Payment

  • The price of each Session is freely set by the Coach and displayed in euros (VAT inclusive) on the Platform before booking.
  • A booking is confirmed after payment validation by Stripe. The Participant receives a confirmation by email or in-app notification.
  • Payment is due in full at the time of booking.
  • Team Up does not store any payment card data. All transactions are managed by Stripe (PCI-DSS certified).

5. Right of Withdrawal

  • Under Article L221-18 of the French Consumer Code, consumers generally have 14 days to exercise their right of withdrawal.
  • However, under Article L221-28(12°) of the French Consumer Code, the right of withdrawal does not apply to "leisure service contracts to be performed on a specific date or during a specific period".   • Participants are informed of this exception at the time of booking.

6. Cancellation and Refund Policy

7. DAC7 — Income Reporting Obligations

  • Pursuant to the DAC7 Directive (Directive 2021/514/EU), Team Up is required to automatically report to the relevant tax authorities the income received by Coaches through the Platform.
  • This reporting applies to Coaches who, during a calendar year, reach: 30 or more transactions, OR €2,000 or more in gross revenue.
  • Reported income may be factored into the Coach's income tax and social contribution calculations.
  • Team Up will collect the necessary information (identification, tax number, IBAN) upon Pro account activation. [TO BE COMPLETED: exact list of data collected and reporting process]

8. Complaints and Customer Service

For any complaint relating to a paid Session, contact: hello@teamup.app. Team Up commits to acknowledging your complaint within 48 hours and providing a response within 5 business days.

9. Dispute Resolution

These Sales Terms are governed by French law. In the event of a dispute, the parties will endeavour to find an amicable resolution. Under Article L. 616-1 of the French Consumer Code, any consumer may use a free consumer mediator.
